Supplier Network Terms

Proposed terms for counsel review. These terms must not be activated for production acceptance until approved by Engineer Hub's legal counsel and accountant.

These terms govern a verified U.S. or Canadian Supplier's account, catalogs, offers, purchase-order communications, fulfillment evidence, Network Service Fees, APIs, and optional services. The signer confirms authority to bind the Supplier.

1. Verification and account

Engineer Hub may verify the Supplier's legal identity, address, domain, authorized contact, service area, tax information, licenses, insurance, sanctions status, and ability to fulfill. Approval creates a Supplier workspace for participating properties; it does not guarantee orders. The Supplier controls its team permissions and must maintain its own business email. Engineer Hub retains audited operator access for security, support, billing, legal compliance, and maintenance.

2. Free participation and optional services

Application, account access, manual catalog entry, approved API catalog exchange, offer publication, and quoting are free under the current model. Optional catalog integration, implementation, premium support, training production, or branded learning-center services require a separate written price and scope. Optional payment never purchases ranking, approval, or private data.

3. Credentials and security

Credentials are confidential, supplier-scoped, revocable, and non-transferable. The Supplier must protect and rotate credentials, use minimum scopes, report compromise, and prevent access to another Supplier or Property Organization. Engineer Hub may suspend credentials for security, legal, or misuse concerns.

4. Catalog and offer accuracy

The Supplier is responsible for exact identity, Supplier SKU, manufacturer, manufacturer part number, GTIN, specifications, certifications, safety information, unit, pack, price, currency, minimum quantity, availability, lead time, freight, service area, validity, warranty, and return terms. Inaccurate, misleading, unavailable, or expired data must be corrected or withdrawn promptly.

5. OEM and substitution controls

A classification code identifies a category and does not establish identity or interchangeability. An OEM claim must match the manufacturer and manufacturer part number. Equivalent, aftermarket, remanufactured, compatible, or substitute products must be labeled accurately and require the Property Organization's affirmative approval before fulfillment.

6. Neutral comparison and data boundary

Fees, optional services, sponsorship, and learning content do not change default offer ranking. Engineer Hub may use disclosed neutral criteria such as landed cost before tax, lead time, availability, exact-product status, contract status, and service area.

Supplier credentials do not provide unrestricted access to property inventory, competitor offers, purchasing history, work orders, assets, residents, employees, plans, sensor data, reports, or files. The Supplier receives only information needed for an authorized transaction, support case, or separately approved integration.

7. Orders and direct customer relationship

An offer, comparison, cart, or requisition is not a purchase order. A purchase order is released only after a Property Organization's authorized approval. The Supplier is the seller, accepts or rejects the order, fulfills it, invoices the Property Organization directly, and receives payment directly. Engineer Hub does not take title to goods, guarantee property payment, or hold property funds.

8. Fixed 1.50% Network Service Fee

In consideration for product normalization, qualified demand routing, offer comparison, approval evidence, supplier-specific PO generation, receiving linkage, inventory posting, return and correction evidence, and audit support, the Supplier agrees to pay Engineer Hub a fixed standard fee equal to 1.50% of merchandise actually received and accepted under an Engineer Hub purchase order released under these terms.

Tax, freight, rejected quantities, cancelled quantities, and returned quantities are excluded. The fee accrues only upon recorded acceptance, is calculated separately by PO and currency, uses cumulative calculation for partial receipts, and is billed separately to the Supplier. It is not added to the Property Organization's PO total. It does not purchase ranking, approval, or data access.

A 1.00% rate applies only if a previously accepted written Supplier agreement or already released purchase order expressly records that grandfathered rate. It remains effective only for the duration stated in that agreement or until amendment, renewal, or replacement. Engineer Hub will not retroactively increase the rate recorded on a released purchase order.

This is a service fee owed directly by the Supplier. It is not a reimbursement of an amount first paid by the Property Organization.

9. Statements, disputes, and credits

Engineer Hub may issue itemized statements showing PO, receipt, accepted basis, rate, credits, currency, legally required tax, and amount due. Unless a signed order form says otherwise, statements are due within 30 calendar days. A good-faith dispute must be submitted within 15 calendar days with supporting evidence; undisputed amounts remain due.

Rejected quantities do not accrue a fee. Recorded returns and approved corrections create traceable credits linked to the original fee and may be applied to an open or future statement or issued as a credit memo. Unpaid undisputed amounts may result in suspension after notice and a reasonable cure period.

10. Supplier pricing and disclosure

The Supplier independently sets prices. It may not add a separate Engineer Hub fee, technology fee, reimbursement, or similar charge to a Property Organization unless clearly disclosed and affirmatively accepted before PO release. The Supplier may not state that Engineer Hub requires the Property Organization to pay the Network Service Fee or conceal another mandatory charge.

11. Fulfillment and compliance

The Supplier is responsible for fulfillment, delivery, title, risk of loss, warranties, returns, recalls, merchandise taxes, safety information, product compliance, licenses, sanctions, export controls, anti-bribery obligations, and remedies under the PO and applicable supplier-property agreement. Shortages, backorders, substitutions, delays, damage, recalls, and inability to fulfill must be communicated promptly.

12. Supplier content and APIs

The Supplier grants Engineer Hub a non-exclusive license to host, format, validate, transmit, display, and use Supplier-provided catalog, offer, product, training, safety, image, document, logo, and trademark material to operate and document the authorized Supplier experience. The Supplier represents that it has the required rights.

Supplier learning content is reviewed before publication and commercial material must be disclosed. Approved APIs may use only authorized endpoints, hosts, schemas, rates, credentials, and scopes. Scraping, malicious submissions, credential misuse, ranking manipulation, false evidence, and unauthorized marketing are prohibited.

13. Audit, confidentiality, and privacy

Engineer Hub may retain application, verification, credential, catalog, offer, PO, receipt, return, fee, statement, moderation, support, and security evidence for operations, billing, disputes, and law. Each party must protect the other's non-public information. Property transaction data may be used only to fulfill, support, invoice, reconcile, or lawfully administer the authorized transaction unless the Property Organization separately consents.

14. Suspension and termination

Engineer Hub may suspend or terminate access for security risk, material inaccuracy, legal noncompliance, unpaid undisputed obligations, repeated delivery failures, infringement, fraud, misuse, or material breach. Termination does not erase completed orders, accrued fees, returns, credits, statements, confidentiality, audit evidence, or other obligations that should survive.

15. Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ENGINEER HUB DOES NOT GUARANTEE DEMAND, ORDER VOLUME, SALES, PLACEMENT, RANKING, PROPERTY PAYMENT, OR CONTINUOUS SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES. EXCEPT FOR THE SUPPLIER'S PAYMENT OBLIGATIONS AND LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED NETWORK SERVICE FEES AND OPTIONAL SERVICE FEES PAID OR PAYABLE DURING THE PREVIOUS TWELVE MONTHS. This limitation requires counsel approval before these terms become effective.

16. Law, notices, and electronic acceptance

These terms are governed by Florida law, with exclusive jurisdiction in state and federal courts in Miami-Dade County, Florida, unless a signed agreement states otherwise. Mandatory law remains applicable. Canadian Suppliers require a counsel-approved Canadian addendum before commercial activation.

Electronic acceptance confirms authority to bind the Supplier, agreement to transact electronically, acceptance of the displayed version and 1.50% standard fee obligation, and ability to retain or print the terms. Engineer Hub records the document version and hash, Supplier, signer, title, email, account if available, method, external agreement reference, and timestamp.
