Building Terms of Service

1. Service and account

Engineer Hub Technologies LLC provides a hosted building-operations platform for maps, plans, assets, QR records, work orders, preventive maintenance, people, inventory, procurement, receiving, invoices, sensors, reports, files, integrations, training, and audit history. The Property Organization must provide accurate identity, property, contact, and authority information. Sensitive capabilities may remain locked until Engineer Hub verifies the property and administrator.

2. Users and security

The Property Organization controls its Authorized Users and is responsible for least-privilege permissions, credentials, devices, removal of former users, temporary contractor access, and prompt notice of suspected compromise. Authorized actions within assigned permissions are treated as actions of the Property Organization unless promptly reported as unauthorized.

3. Building Data

The Property Organization retains its rights in information submitted to or generated through its workspace. It grants Engineer Hub the limited right to host, process, transmit, display, back up, secure, analyze, and use that information to provide, protect, support, document, and improve the Service. The Property Organization is responsible for lawful collection, accuracy, notices, permissions, and minimizing resident and employee information.

Blueprints, panel schedules, risers, utility maps, access-control records, life-safety drawings, and sensor maps are restricted building records. The Property Organization decides who may access them. Engineer Hub may apply private storage, scanning, quarantine, role controls, expiring links, and audit logs.

4. Procurement relationship

An offer, comparison, cart, or requisition is not a purchase order. A supplier-specific purchase order is released only through the Property Organization's authorized approval process. The Property Organization must review product identity, approved equivalents, quantity, unit, pack, price, freight, lead time, tax, warranty, return terms, and supplier terms.

The Supplier, not Engineer Hub, is the seller. The Supplier accepts and fulfills the order, invoices the Property Organization directly, and receives payment directly. Engineer Hub does not take title to goods, guarantee either party's performance, or hold the Property Organization's payment.

5. Supplier-paid Network Service Fee

The Property Organization acknowledges that Engineer Hub's standard Network Service Fee is 1.50% of merchandise actually received and accepted under an Engineer Hub purchase order released under the current Supplier Network Terms. Tax, freight, rejected quantities, cancellations, and returns are excluded.

A 1.00% rate applies only when an already accepted written Supplier agreement or already released purchase order expressly records that grandfathered rate. It remains effective only for the duration stated in that agreement or until the applicable agreement is amended, renewed, or replaced. Engineer Hub will not retroactively change the rate recorded on a released purchase order.

The Supplier owes this Network Service Fee directly to Engineer Hub. It is not added to the Property Organization's purchase-order total, and the Property Organization is not liable for or a guarantor of the Supplier's fee. The Property Organization authorizes Engineer Hub to use purchase-order, receipt, rejection, return, and correction records to calculate, reconcile, credit, document, and collect the fee.

Fee payment does not purchase ranking, change property approval, or provide access to private property or competitor data. The Property Organization must record receiving, rejection, return, and correction information accurately and in good faith.

6. Receiving, invoices, and inventory

Only accepted quantities may post to inventory and become the fee basis. Rejected items do not enter stock. Returns and approved corrections create traceable fee credits. Invoice upload or OCR is review evidence and does not itself receive goods or change inventory.

7. Product identity and substitutions

Engineer Hub may use internal product identities, manufacturer and part numbers, GTINs, specifications, units, pack quantities, and licensed classifications to match property and supplier records. A classification match does not prove exact identity or interchangeability. An OEM claim must match the stated manufacturer and manufacturer part number. Equivalent, aftermarket, or substitute items require the Property Organization's affirmative approval.

8. Operations and life-safety limits

Engineer Hub supports administration and operational judgment; it does not replace qualified human review, licensed architecture or engineering, accounting, legal advice, code officials, emergency dispatch, inspections, permits, or licensed trade work.

Engineer Hub is not a substitute for required fire alarm, gas detection, sprinkler supervision, elevator safety, security, emergency communication, flood protection, or other legally required life-safety systems. Sensor and third-party data may be delayed, incomplete, inaccurate, or unavailable. The Property Organization remains responsible for emergency response and legal compliance.

9. Third-party services

Connections to suppliers, building systems, email, calendars, weather and news sources, storage, malware scanning, OCR, sensors, and other providers may be governed by separate terms and accounts. Engineer Hub is not responsible for their availability, pricing, data quality, licensing, or changes except as stated in a signed order form.

10. Acceptable use

Users may not access another organization, upload malicious or unauthorized content, bypass access or audit controls, misrepresent products or transaction evidence, use the Service unlawfully, or copy protected non-public portions of the Service except where applicable law does not permit restriction.

11. Optional charges

The core property workspace may be offered without a software subscription charge. Optional implementation, onsite work, integrations, premium support, sensor-router installation, training, storage, or other services require a separate written order form. No optional charge is added without authorization.

12. Intellectual property and confidentiality

Engineer Hub and its licensors retain rights in the Service, software, designs, documentation, normalization methods, and non-customer materials. The Property Organization receives a limited right to use the Service for internal operations while its account is active. Each party must protect the other's non-public business, technical, security, and operational information using reasonable care.

13. Availability, suspension, and termination

Engineer Hub will use commercially reasonable efforts to provide the Service. Maintenance, security response, customer systems, third-party providers, force majeure, and internet conditions may affect availability. Engineer Hub may suspend access to protect the Service, comply with law, investigate an incident, or address a material breach. Data export and deletion follow the applicable retention policy, legal holds, backup integrity, audit, and accounting obligations.

14. Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ENGINEER HUB DOES NOT WARRANT THAT THE SERVICE, THIRD-PARTY DATA, SENSOR DATA, PRODUCT DATA, OR AUTOMATED OUTPUT WILL BE UNINTERRUPTED, ERROR FREE, COMPLETE, OR SUITABLE FOR A PARTICULAR SAFETY, PURCHASING, OR COMPLIANCE DECISION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES. EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS PAID TO ENGINEER HUB FOR THE AFFECTED SERVICE DURING THE PREVIOUS TWELVE MONTHS OR FIVE HUNDRED U.S. DOLLARS. This limitation requires counsel approval before these terms become effective.

15. Law, notices, and electronic acceptance

These terms are governed by Florida law, with exclusive jurisdiction in state and federal courts in Miami-Dade County, Florida, unless a signed agreement states otherwise. Mandatory law remains applicable. Canadian accounts require a counsel-approved Canadian addendum before commercial activation.

Electronic acceptance confirms authority to bind the Property Organization, agreement to transact electronically, acceptance of the displayed version, acknowledgment of the supplier-paid fee mechanism, and the ability to retain or print the terms. Engineer Hub records the document version and hash, organization, property, signer, title, account, method, and timestamp.
